To the notifying party

Dear Sirs,

1.On 11 March 2015, the European Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation by which the undertaking Wärtsilä Corporation ("Wärtsilä", Finland) acquires within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the whole of the business unit L-3 Marine Systems International ("L-3 MSI", Finland) by way of purchase of shares. L-3 MSI consists of L-3 Communications Dynamic Positioning and Control Systems, Inc. (USA), L-3 G.A. International, Inc. (USA), Funa International, Inc. (USA), SAM Electronics GmbH (Germany), L-3 Communications ELAC Nautik GmbH (Germany), JOVYATLAS EUROATLAS Gesellschaft für Leistungselektronik GmbH, (Germany), L-3 Communications Marine Holdings AS (Norway) and L-3 Communications Valmarine AS (Norway).

The business activities of the undertakings concerned are:

− for Wärtsilä: Wärtsilä supplies ship power for builders, owners and operators of vessels and offshore installations. It has a global service network for customers' ship machinery at every lifecycle stage and it is a provider of power plants, operations and lifetime care services in decentralized power generation,

− for L-3 MSI: L-3 MSI is active in the supply of complete marine electrical systems as well as integrated navigation, automation, communication, energy distribution and propulsion systems.

3.After examination of the notification, the European Commission has concluded that the notified operation falls within the scope of the Merger Regulation and of paragraph 5(c) of the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004.

4.For the reasons set out in the Notice on a simplified procedure, the European Commission has decided not to oppose the notified operation and to declare it compatible with the internal market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of the Merger Regulation and Article 57 of the EEA Agreement.
