SECTION 1.2

Description of the concentration

On 11 January 2008 the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) 139/2004 by which Kohlberg Kravis Roberts & Co, L.P., acting through the undertaking NIS Acquisitions Limited, acquires within the meaning of Article 3(1)(b) of the Council Regulation sole control of Northgate Information Solutions plc.

The primary business activities of the undertakings concerned are:

i) For Kohlberg Kravis Roberts & Co. L.P.: Private equity investment.

ii) For Northgate Information Solutions plc: The provision of software, outsourcing and information technology services to the human resources, local government, education and public safety market sectors.
