SECTION 1.2

Description of the concentration

On November 16, 2021, the Commission received a notification of a proposed concentration pursuant to which Adecco Group AG (“Adecco”) will acquire sole control over AKKA Technologies SE (“AKKA”) solely by acquisition of shares.

Adecco is mainly active in the provision of human capital solutions including flexible placement, permanent placement, career transition, HR outsourcing, consulting, training, and other HR services on a global basis. Through Modis, Adecco is also active in the provision of IT and digital-engineering services to enable digital transformation and accelerate innovation. Adecco Group AG is headquartered in Zurich, Switzerland. Adecco is active on a global basis.

AKKA is a European provider of engineering and research and development consulting services. AKKA's registered office is in Brussels, Belgium. AKKA is mainly active in the EEA, although it has been expanding on a global basis, in particular in North America.

The proposed concentration is notified pursuant to Article 3(1)(b) of Council Regulation (EC) No. 139/2004 on the control of concentrations between undertakings because it will lead to Adecco acquiring sole control over AKKA.
