SECTION 1.2

Description of the concentration

On 7 May 2019, the European Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation by Energetický a průmyslový holding, a.s. ("EPH") indirectly acquired within the meaning of Article 3(1)(b) of the Merger Regulation sole control over the whole of AES Ballylumford Limited ("ABL") and AES Kilroot Power Limited ("KPL") (together ABL and KPL are the "Target"), through its subsidiary EP UK Investments Limited.

The business activities of the undertakings concerned are:

-- EPH is a utility company engaged in coal extraction, electricity and heat production, distribution and supply as well as gas supply in various EU Member States.

-- ABL's sole business is the operation of the Ballylumford gas fired power station in Northern Ireland. KPL's sole business is the operation of the Kilroot thermal dual coal/oil fired power station with a battery storage facility, also in Northern Ireland.

-- AES is the ultimate owner of ABL and KPL. AES is a holding company operating a diversified portfolio of electricity generation and distribution businesses, as well as thermal and renewable generation facilities, across the United States, South America, Mexico, Central America and the Caribbean, Europe and Asia.
