SECTION 4

Description of the concentration

This notification concerns the following undertakings:

• SEFE Securing Energy for Europe GmbH (“SEFE”), Germany, controlled by German Federal Ministry of Economic Affairs and Climate Action, Germany,

• WIGA Transport Beteiligungs-GmbH & Co. KG (“WIGA”), Germany, jointly controlled by SEFE and Wintershall DEA AG (“Wintershall”) and

• WIGA Verwaltungs GmbH (“WIGA GP”), Germany, jointly controlled by SEFE and Wintershall.

SEFE acquires within the meaning of Article 3(1), point (b) of the Merger Regulation sole control of the whole of WIGA and WIGA GP.

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are:

a. for SEFE: supply of natural gas with a strong footprint in the German market. SEFE’s main business areas include global sourcing, trading and sales, transportation and storage of natural gas and LNG.

b. for WIGA: holding company for undertakings active in the operation of high-pressure gas transmission pipelines in Germany.

c. for WIGA GP: personally liable general partner of WIG.
