SECTION 1.2
Description of the concentration
On 7 December 2018 the European Commission received the notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (“Merger Regulation”) by which the undertakings NN Group N.V. (“NN”) via its subsidiary REI Investment I B.V., Allianz SE (“Allianz”), via its fully owned subsidiary Allianz Finance IX Luxembourg S.A., and NRP Group (“NRP”), through its subsidiary NRP Asset Management AS (“NAM”), will acquire joint control over eight property companies (the “Target Entities”) and their corresponding real estate properties (the “Properties”) through an alternative investment fund (the “Fund”) by way of a purchase of shares in the Target Entities (the “Transaction”). The Properties are located in Denmark and Sweden.
Pre-Transaction, five of the eight Target Entities are under NRP’s sole control, while the remaining three are jointly controlled in each case by NRP and another unaffiliated third party (T. Klaveness Eiendom AS for two of the three Target Entities, and Västerport Holding AB for the third Target Entity).
NN is a financial services provider based in the Netherlands and it offers retirement services, insurance, investments and banking products. The Allianz Group is a global financial services provider based in Germany, active in all market segments related to insurance, asset management, and carries out very limited activities in the real estate sector. NRP is an investment firm based in Norway, active in the provision of direct investment and fund solutions within the real estate, shipping and offshore sectors.
