SECTION 1.2

This notification concerns the following undertakings:

• Teleperformance SE (“Teleperformance”), France, not controlled by any other undertaking; and • Majorel Group Luxembourg S.A. (“Majorel”), Luxembourg, jointly controlled by Bertelsmann Luxembourg S.à r.l., Luxembourg, Saham Customer Relationship Investments Limited, UAE and Saham Outsourcing Luxembourg S.àr.l., Luxembourg (together the “Major Shareholders”).

Teleperformance acquires within the meaning of Article 3(1), point (b) of the Merger Regulation, sole control over Majorel.

The concentration concerns a voluntary public takeover offer (the “Offer”).

Teleperformance will acquire all the outstanding and issued shares of Majorel tendered by the Major Shareholders, granting it sole control over Majorel, and intends to buy all remaining shareholdings.
