SECTION 4

Description of the concentration

The notified transaction concerns the creation of a joint venture by TotalEnergies Marketing UK Ltd, a wholly owned subsidiary of TotalEnergies Group, and SSE Utility Solutions Limited, a wholly owned subsidiary of SSE, within the meaning of Article 3(1)(b) and Article 3(4) of Regulation (EC) No 139/2004.

The JV entity (SSE DE EV HOLDCO LIMITED) will invest in, build and operate a network of charging stations offering ultra-fast charging services for electric vehicles (EVs) and related convenience services in the United Kingdom and The Republic of Ireland.

The concentration will be brought about by the purchase of 50% of the share capital of SSE DE EV HOLDCO LIMITED by TotalEnergies Marketing UK Ltd.

The primary business activities of the undertakings and the JV entity are as follows:

• TotalEnergies Marketing UK Ltd: TEMUK, a company incorporated in the jurisdiction of England and Wales , is the UK marketing & services operation for the TotalEnergies Group and is a wholly owned subsidiary of TotalEnergies SE, a company established in France and publicly listed on the Paris, New York, London and Brussels stock exchanges . The division manufactures and sells lubricants, bitumen products and petroleum-based solvents into the transport, building and manufacturing sectors. TEMUK is also a leading supplier of aviation fuels to airports throughout the United Kingdom as well as an operator of TotalEnergies service stations, offering public and business customers the company’s full line-up of fuels and lubricants, as well as a broad range of products and services, including EV charge points.

• SSE Utility Solutions LTD: SSEUS, a company incorporated in the jurisdiction of England and Wales , provides innovative solutions to build, own and operate and maintain energy infrastructure in the UK and The Republic of Ireland, covering both private and public sector across residential, commercial and industrial markets.

• SSE DE EV HOLDCO LIMITED or the JV: The JV is currently a 100% subsidiary of SSEUS, incorporated in the jurisdiction of England and Wales.. The parties intend to repurpose this entity for the JV and rename it upon completion. The newly-established joint venture will invest in, build, own, operate and manage a network of EV charging stations offering ultra-fast charging for EVs and related convenience services in the United Kingdom and The Republic of Ireland.
