SECTION 1.2

Description of the concentration

The proposed concentration concerns the creation of a Japanese full-function joint venture, MOBILOTS Corporation, between Sumitomo Corporation and ToyotaMotor Corporation.

Sumitomo Corporation is a listed Japanese integrated trading and investing company, which is active in various sectors, such as automobile leasing, the trading of metal products, transportation, media, mineral resources, energy, chemicals and electronics.

Toyota Motor Corporation is a listed Japanese company which is engaged, inter alia, in the manufacture, sale, leasing and repair of motor vehicles, ships, aircraft and other transportation equipment, as well as the sale of material-handling equipment.

MOBILOTS Corporation will supply financing for vehicles focusing on commercial vehicles such as trucks and buses in Japan. It will not have any activities within or affecting the European Economic Area.
