SECTION 4

Description of the concentration

This notification concerns the contemplated acquisition of joint control over OnTower Austria by the French energy group EDF and the French investment company Vauban Infrastructure Partners (ultimately controlled by the French banking group BPCE).

The main business activities of the undertakings concerned are:

-- for EDF: electricity production and electricity wholesale supply, trading, transmission, distribution and retail supply;

-- for Vauban Infrastructure Partners: Vauban Infrastructure Partners is a European asset management company with a focus on infrastructure equity investments. The firm structures and manages equity funds investing in the design, construction, maintenance, financing and operation of essential infrastructure assets in the transportation, social, digital and utilities sectors;

-- for OnTower Austria: operation of a wireless passive network infrastructure in Austria, consisting of ground-based towers, rooftop towers and other sites, used by mobile network operators.
