Description of the concentration

On January 16, 2017, Essilor International (Compagnie Générale d’Optique) S.A. (“Essilor”) and Luxottica Group S.p.A. (“Luxottica”, together with Essilor, the “Parties”) announced the full merger of their respective businesses (the “Transaction”).

Essilor is active in every phase of ophthalmic (corrective) lens development, from design to manufacture to wholesale, and Luxottica designs, manufactures and distributes eyewear, i.e., prescription frames and sunglasses. Together, the Parties will combine their complementary areas of expertise, products, and brands in ophthalmic lenses, prescription frames, and sunglasses and develop comprehensive product and service offerings to answer the growing needs in visual health and the appetite for high-quality eyewear products, particularly in underserved markets.
