SECTION 1.2

Description of the concentration

On 8 October 2021, the European Commission received notification of the acquisition of joint control by CPP Investments and by funds advised by BC Partners LLP (BC Partners) over CeramTec Topco GmbH (CeramTec). CeramTec is currently solely controlled by affiliates of BC Partners.

CPP Investments is an investment management organisation that invests the funds transferred to it from the Canada Pension Plan and is based in Toronto, with offices in Hong Kong, London, Luxembourg, Mumbai, New York City, São Paulo, San Francisco and Sydney. CPP Investments principally invests in public equities, private equities, real estate, infrastructure and fixed income investments.

BC Partners is an international private equity firm established in London whose sole activity is to provide advisory services. Funds advised by BC Partners are pure financial investors.

CeramTec is active in the production of high-performance advanced ceramic materials and products.
