SECTION 1.2

Description of the concentration

Papstar Holding AG through its wholly owned affiliate Papstar Service GmbH and Bilfinger SE through its wholly owned affiliate Bilfinger Ahr Healthcare and Services GmbH, intend to create an equally owned (50/50) full-function joint venture, the ProfiCare GbR. The Joint Venture will be active in the distribution of single use medical and care products of all kind to hospitals, nursing care facilities and private individuals.

The Papstar Service GmbH offers supply logistics, merchandising and other POS management services at retail stores to FMCG producers. Its parent company, the Papstar Holding AG is active in various fields which are not related to the undertaking of the Joint Venture. The Papstar GmbH, another wholly owned affiliate of the Papstar Holding AG is active in the sale and distribution of goods with regard to disposable tableware and service packaging, packaging materials, hygiene products, tabletop, household aid, decorative items and accessories as well as paper articles.

The Bilfinger group provides engineering and services including the development, maintenance and operating of plants and buildings for the industry as well as the energy sector and real estate.
