SECTION 4

Description of the concentration

(1) This notification concerns the following undertakings:

a. Stonepeak Partners LP (together with any of its affiliates, “Stonepeak”)

b. Ørsted A/S (together with its controlled companies, “Ørsted”)

(2) On 9 April 2024, Stonepeak and Ørsted notified their intention to acquire indirect joint control of OONA Energy Partners 3, LLC (“Target”), within the meaning of Article 3(1)(b) and 3(4) of Council Regulation (EC) No 139/2004. Target is currently solely controlled by Ørsted.

(3) The concentration will be accomplished by way of acquisition of shares in Target.

(4) The business activities of the undertakings concerned are as follows:

a. Stonepeak is a global alternative investment firm specializing in infrastructure and real assets, headquartered in New York.

b. Ørsted is a group of companies operating in the field of renewable energy.

c. Target is a holding company which operates four onshore wind farms, all of which are entirely located in the United States, including: (i) the Ford Ridge Wind project, located in Ford County, Illinois (“Ford Ridge”); (ii) the Helena Wind project, located in Bee County, Texas (“Helena”); (iii) the Western Trail Wind project, located in Wilbarger and Baylor Counties, Texas (“Western Trail”); and (iv) the Sunflower Wind project,located in Marion County, Kansas (“Sunflower”) (together, the “US Wind Energy Projects”).
