SECTION 1.2

Description of the concentration

The Commission has received notification of a proposed concentration pursuant to which the activities of Olenex C.V., a partnership that was created in 2012 between Archer Daniels Midland International S.à.r.l. and Wilmar Switzerland S.à.r.l., will be extended such that it will become a joint venture performing on a lasting basis all the functions of an autonomous economic entity. This will entail the creation of a limited liability company, Olenex B.V., over which Archer Daniels Midland Europe B.V. and Wilmar Europe Holdings B.V. will have joint control.

Olenex B.V. and its subsidiaries will be primarily engaged in the production, marketing and sale of refined vegetable oils and fats to customers worldwide (excluding the People’s Republic of China).

Archer Daniels Midland Europe B.V. is part of the Archer Daniels Midland Company Group of companies, whose activities include the processing of oilseeds, corn, sugar, wheat, and other agricultural commodities. ADM is also a manufacturer of protein meal, vegetable oil, corn sweeteners, flavours, flour, biodiesel, ethanol, and other value added food and feed ingredients. ADM has a global grain elevator and transportation network to procure, store, clean, and transport agricultural commodities, such as oilseeds, corn, wheat, oats, and barley, as well as processed agricultural commodities.

Wilmar Europe Holdings B.V. is part of the Wilmar International Limited group of companies whose business activities include oil palm cultivation, oil seed crushing, edible oil refining, sugar milling and refining, specialty fats, oleochemicals, biodiesel and fertilizer manufacturing as well as flour and rice milling.
