SECTION 1.2
Description of the concentration
The notified concentration concerns the acquisition of BP Holdings’ minority shareholding in the Nam Con Son gas pipeline in Vietnam by TNK-BP.
Currently, Nam Con Son gas pipeline’s shareholders include PetroVietnam Gas Corporation (the majority shareholder), BP Pipelines Vietnam B.V. (“BP”) and ConocoPhillips Vietnam AS. As a result of the notified transaction, TNK-BP will acquire all BP’s interests in the Nam Con Son gas pipeline. The stakes of the two other joint venture partners will remain the same, with PetroVietnam Gas continuing to be the majority shareholder in the Nam Con Son gas pipeline.
