SECTION 1.2

Description of the concentration

Brookgate has negligible activities within the EEA. Its EEA-wide turnover is well below €100 million. Further, the Transaction does not give rise to any horizontally or vertically affected markets relating to Brookgate’s areas of activities or to Goldman Sachs’ and the TPG Group’s financial activities. The Notifying Parties therefore submit that the Transaction would be eligible for notification on Short Form in accordance with Article 5(a) and Article 5(c) of the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004.1 Pursuant to the Commission’s request, however, Goldman Sachs and TPG Lundy notify the Transaction on Form CO. The Notifying Parties understand that the Commission will process the notification using the semi-simplified procedure.
