SECTION 1.2

Description of the concentration

On 23 June 2021, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004. According to that notification, the following is intended:

Hansewerk AG ("HAW") and the current shareholders of Hypion GmbH ("Hypion") acquire Joint control over Hypion GmbH. The current shareholders are EDF Deutschland GmbH ("EDF"), IPP Projects GmbH ("IPP") and Entwicklungsagentur Region Heide AöR ("FARN"), each holding one third of Hypion's shares and each having negative control over Hypion. HAW intends to become a further shareholder in Hypion with 25 % of the shares in Hypion (the "Transaction"). After the transaction, each future shareholder will hold 25 % of Hypion's shares and have negative control over Hypion. For further details see para. 2.

2. The Parties to the concentration are active in the following business areas:

— Hypion is active in the North of Germany and develops and sells projects in the field of green hydrogen and other industrial gases produced from green hydrogen. These projects concern the whole value chain, starting from the production to the distribution of green hydrogen and other industrial gases, including the operation of fuelling stations and storage facilities.

— HAW is solely controlled by its majority shareholder E.ON SE. E.ON SE is a DAX-listed European energy company based in Essen, Germany. Its activities are focused on two main business pillars: (i) energy distribution networks and (ii) customer solutions (including electricity and gas retail supply).

— EDF is a subsidiary of EDF S.A., which is active on the electricity markets, and in particular in electricity production and wholesale, trading and supply, mainly in France but also abroad. EDF S.A. is also active in the gas sector as well as in the construction, operation, and maintenance of electrical plants and power networks and provides waste recycling and energy services.

— IPP is a subsidiary of Possel & Koselowske Holding GmbH, whose subsidiaries are active in the areas of planning, consulting, design, assessment, construction management and project coordination for all areas of environmental protection in construction and process engineering.

— EARH is an Institution under German public law founded by the City of Heide (Schleswig- Holstein) and eleven other municipalities near Heide, Northern Germany. EARH develops and implements concepts aiming at developing housing, economy and trade (including the creation of jobs in the renewable energy sector), retail, public transport, schooling, social infrastructure, landscape and recreation.
