On 16 November 2018, the European Commission received the notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004 (“EUMR”). The notified concentration involves the proposed acquisition by Engie S.A. (“Engie”) of joint control over Windplus, S.A. (the “Windplus”), alongside EDP Renewables, SGPS, S.A. (“EDPR”) and Repsol Nuevas Energías, S.A. (“Repsol”) (together, the “Parties”) already jointly controlling Windplus.
Engie is an industrial company active in the fields of gas, electricity and energy services. It is active throughout the entire energy-value chain.
EDPR is a subsidiary of the EDP – Energias de Portugal, S.A. group which is a vertically integrated utility company active inter alia in the generation, distribution and supply of electricity in Portugal and Spain and is also active in the natural gas business in both countries. EDPR is active in the field of generation of green energy through the development, construction and operation of onshore and offshore wind farms and photovoltaic power stations.
Repsol is a subsidiary solely controlled by Repsol, S.A. which is an integrated energy company active in the oil and gas industry. Repsol is developing a business related to renewable energy both wind and solar.
Windplus will be active in the generation and wholesale supply of electricity in Portugal through an offshore wind farm using an innovative floating technology.
