SECTION 1.2

Description of the concentration

On 25 July 2018, the European Commission received a notification of a proposed concentration pursuant to Article 4 and Article 3(1)(b) of Council Regulation (EC) No 139/2004 involving the acquisition by Amey UK plc of the shares it does not already own in CarillionAmey Limited and CarillionAmey (Housing Prime) Limited (together with CarillionAmey Limited, the Target) from Carillion Holdings Limited (in liquidation). The business activities of the undertakings concerned are:

-- Amey is a public limited company incorporated in the UK. Amey provides integrated infrastructure support services and facility management services to the private and public sectors in the UK. Its business includes railway and road management and maintenance services, waste and environmental management services, facility management services, engineering design and consultancy services and other outsourcing support services including prison escort and custody services. Amey also provides fleet transport services in the UK. Amey is a wholly owned indirect subsidiary of Ferrovial S.A.. More information on Amey is available at https://www.amey.co.uk/.

-- The Target provides repair and maintenance services for certain UK Ministry of Defence buildings and assets in the UK. This includes the repair and maintenance of 49,000 homes for families of members of the British armed forces, as well as the repair, maintenance and small infrastructure works on 280 Royal Air Force stations, army garrisons, naval bases and defence sites across the UK.
