SECTION 1.2

Description of the concentration

1.This notification relates to the proposed acquisition of the majority of Motorola, Inc.’s public wireless network business (“MNB”) by Nokia Siemens Networks (“NSN”).

2.NSN is a company headquartered in Finland and incorporated in the Netherlands, and it is one of the three business groups of Nokia. Nokia, a company based in Finland, has sole control of NSN. NSN provides mobile and fixed network infrastructure, communications and networks service platforms, as well as professional services to operators and service providers.

3.MNB consists of the majority of the assets of Motorola’s Networks segment. Motorola is a U.S.-based company that provides technologies, products, and services in the mobile communications sector. Motorola’s Networks segment designs, manufactures, sells, installs and services wireless network systems, including cellular infrastructure systems and wireless and wireline cable and cellular broadband systems, for wireless service providers.
