SECTION 1.2

Description of the concentration

On 8 June 2021, the European Commission received a notification of a proposed concentration pursuant to which the MAIF3 Fund and Warrington would acquire indirect joint control over BINGO through a scheme of arrangement and an envisaged consortium arrangement.

(i) MAIF3 Fund is managed and controlled by MIRA of the Macquarie Group, which invests in and manages infrastructure assets through a number of public and private funds. It also has growing portfolios in real estate, agriculture, and energy.

(ii) Warrington is a nominated investment vehicle of GIC Special Investments Pte. Ltd. ("GICSI"). GICSI manages a diversified global portfolio of investments in private equity, venture capital and infrastructure funds, as well as direct investments in private companies.

(iii) BINGO's activities include the management of recycling and waste in Australia.
