SECTION 1.2

Description of the concentration

On 01/09/2009, the Commission received a notification of a concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 by which International Power Opatovice, a.s. ("IPO") (belonging to the International Power Plc group), EnBW Energie Baden-Württemberg AG ("EnBW") and the City of Prague (the latter two through Pražská teplárenská Holding, a.s.) acquired joint control over Pražská teplárenská, a.s. ("Pražská teplárenská") within the meaning of Article 3(1)(b).

The business activities of the undertakings concerned in the EEA are:

-- for IPO: the generation and wholesale supply of electricity, provision of ancillary services and provision of heat;

-- for EnBW: the generation and wholesale supply of electricity, provision of ancillary services, provision of heat and maintenance and repair of technology equipment in the energy sector;

-- for the City of Prague: the generation and wholesale supply of electricity, retail supply of electricity, distribution of electricity, provision of ancillary services, provision of heat, supply of gas and maintenance and repair of technology equipment in the energy sector;

-- for Pražská teplárenská: the generation and wholesale supply of electricity, provision of ancillary services, provision of heat and maintenance and repair of technology equipment in the energy sector.
