SECTION 1.2

Description of the concentration

On 29 June 2021, the European Commission received notification of a proposed

concentration pursuant to Council Regulation (EC) 139/2004 consisting of the

acquisition of sole control by Macquarie European Infrastructure Fund 6 ScSp ("MEIF 6") over Beauparc Utilities Holdings Limited (the "Target").

MEIF 6 is an investment fund managed by Macquarie Infrastructure and Real Assets (Europe) Limited, a wholly-owned subsidiary of Macquarie Group Limited. Macquarie is global provider of banking, financial, advisory, investment and funds management services, listed on the Australian Stock Exchange.

The Target is active in the collection, sorting/processing and treatment of non-hazardous waste primarily in Ireland, the UK and the Netherlands. The Target is also active in the generation/wholesale and retail supply of electricity and the retail supply of gas in Ireland.
