SECTION 4

Description of the concentration

This notification concerns the following undertakings:

• Prax Limited, (“Prax”, UK): a holding company and subsidiary of the Prax Group, active in the refining and blending of oil, supply of petroleum products, operating of a logistics network to transport oil products as well as the retail sale of fuel through fuel stations located in the UK.

• OIL! Tankstellen GmbH, (“OIL!”, Germany), currently controlled by MABANAFT GmbH & Co. KG, is, together with its subsidiaries, active in the retail sale of motor fuels and complementary products (convenience, coffee and food, car wash and other services) through fuel stations in Germany, Denmark, Austria and Switzerland.

Prax acquires, within the meaning of Article 3(1), point (b) of the Merger Regulation, sole control of OIL!. The concentration is accomplished by way of purchase of shares (the “Proposed Transaction”).
