SECTION 1.2
Description of the concentration
1.On 19 July 2023, the Commission received notification of a proposed concentration pursuant to which International Chemical Investors Group ("ICI") via International Chemical Investors 3 S.E. will indirectly acquire sole control over Haltermann Besitzgesellschaft GmbH, HCS Group GmbH, and HCS Holding GmbH (HCS Group GmbH and HCS Holding GmbH together with its affiliated companies, the "HCS Group") within the meaning of Article 3(1)(b) of Council Regulation (EC) No. 139/2004 by means of acquisition of shares.
The business activities of the parties are as follows:
• ICI is a privately owned industrial group incorporated in Luxembourg, focusing on midsized chemical and pharmaceutical businesses. All of ICI's acquired businesses have origins in global chemical or pharmaceutical corporations and are independently managed.
• HCS Group is a globally active provider of speciality solvents and additives, as well as mobility products and services with an application focus, including processing service offering of separation, refining and formulation. It operates via its four business units, i.e., (i) life science, in particular with activities in solvents, (ii) mobility, in particular with activities in performance fuels and other equipment, (iii) industrial, with activities in pentanes, printing ink solvents, and metal working fluids, and (iv) energy, with activities in the field of services for power transformers, in particular recycling.
