SECTION 1.2

Description of the concentration

The present notification concerns a proposed concentration whereby Euraleo S.r.l. (ìEuraleoî) and Capitoloquattro S.p.A (ìCapitoloquattroî) intend to acquire joint control, within the meaning of Article 3(1)(b) of Council Regulation (EC) No. 139/2004, of Sirti S.p.A., an Italian listed company that is active in engineering and realization of telecommunication networks and systems.

Euraleo is an Italian company incorporated by Eurazeo S.A. and Gruppo Banca Leonardo S.p.A to implement equity investments in companies that operate in the Italian territory or have their prevalent operations and/or registered office in Italy.

Capitoloquattro is an Italian company exclusively controlled by 21 Partners on behalf of its private equity funds under management.

The proposed concentration will not raise any competitive concerns since there are no horizontal or vertical relationships between the acquiring parties and Sirti.
