SECTION 1.2

Description of the concentration

This notification relates to the proposed acquisition, by way of purchase of 100 % of shares, of sole control by Mutares SE & Co. KGaA (Mutares SE & Co. KGaA and its subsidiaries together “Mutares”) over Walor International S.A.S., a French simplified joint stock company (“Walor”), within the meaning of Article 3(1) of Council Regulation (EC) 139/2004.

Mutares is an investment company focusing on the acquisition of parts of large corporations and medium-sized companies in transitional situations. Mutares aims to leverage the development potential of its target companies. For this purpose, the Mutares team – from the management to the operational teams – has extensive operational industry experience. Mutares holds investments – among others – in the automotive sector.

The business activities of the Parties are as follows:

• for Mutares in general: portfolio investments, especially in Europe.

• for Mutares portfolio companies active in the automotive sector: fluid transfer systems; sealing solutions; engineering services; safety components like hinges and locking systems; mechatronic backrest adjusters; aerodynamic systems; plastic components like grilles, rockers, dashboards, side panels to spoilers and other exterior trim parts; wire harnesses and cables; and components for use in electric, hybrid and conventional drives.

• For Walor: manufacture and supply of parts and accessories for motor vehicles, i.e. powertrain, steering system, passive safety, body-in-white, and ground connection components. Walor also manufactures and supplies components for the energy sector.
