SECTION 1.2

Description of the concentration

The Proposed Transaction involves the acquisition of sole control of the ingredients business outside of North America (“CSM Ingredients”) of CSM Bakery Solutions Limited and its subsidiaries by wholly-owned subsidiaries of Global Food Solutions S.à r.l. (“GFS”). GFS is an investment subsidiary indirectly held by Investindustrial VII L.P. (“Investindustrial VII”), a fund with its registered office in London, United Kingdom and which is managed by an affiliate of Investindustrial S.A.. Both GFS and Investindustrial S.A. have their registered office in Luxembourg City, Luxembourg. The Proposed Transaction will have an EU dimension under Article 1(3) of the EUMR and is a concentration within the meaning of Article 3(1)(b) of the EUMR.

Investindustrial VII is a fund managed by a company of the Investindustrial Group, a European group of independently-managed investment, holding and financial advisory companies. Independently-managed subsidiaries of funds managed by companies of the Investindustrial Group invest predominantly in medium-sized companies active in industry sectors such as consumer and leisure, healthcare and services, and industrial manufacturing.

CSM Ingredients is the European and other international (excluding North America) ingredients business of CSM, a company with its registered office in Wirral, United Kingdom. CSM Ingredients is a manufacturer and distributor of bakery, dairy, and icecream semi-finished ingredients supplied to the artisanal traditional trade (pastry and bakery shops) and industrial channels, with a wide product portfolio focused primarily on bread ingredients, pastry mixes, bakery fats, fillings, glazes, toppings and icings. Key brands include Artisal, Arkady, Braims, Craigmillar, Marguerite, Masterline, MeisterMarken and Ulmer Spatz.
