SECTION 1.2

Description of the concentration

On 25 April 2008, the Commission received the notification of a proposed concentration pursuant to Article 4 of Regulation (EC) No 139/2004 (the Merger Regulation), by which The Boeing Company (USA) will purchase from Vought Aircraft Industries Inc (USA) its 50% ownership share of Global Aeronautica LLC (USA), thereby acquiring joint control of Global Aeronautica LLC within the meaning of Article 3(1)(b) of the Merger Regulation along with Alenia North America, Inc. (USA), a company of the Finmeccanica group (Italy).

The business activities of the undertakings concerned are as follows:

Boeing: commercial aircraft, defence and space industries and related services.

Finmeccanica/Alenia North America: for Finmeccanica, aeronautics, defence and space industries and related services, and in particular for Alenia North America, regional and military aircraft and aerostructures.

Global Aeronautica: integration and pre-assembly of aerostructures, more specifically fuselage sections, for the Boeing 787 programme.
