On 20 November 2019, the European Commission received notification of a proposed
concentration pursuant to Article 4 of the Merger Regulation by which the undertakings ENGIE
S.A. ("ENGIE", France) and Versicherungskammer Bayern, acquire within the meaning of
Article 3(1)(b) and 3(4) of the Merger Regulation, through a Joint-Venture, joint control over
seven companies owning a portfolio of photovoltaic plants, located in France (the "Targets",
France) ultimately controlled by ENGIE, by way of purchase of shares.
The business activities of the undertakings concerned are:
• ENGIE is an industrial company active in the fields of gas and electricity supply, as well
as in energy services;
• Versicherungskammer Bayern is a German public insurer which provides personal and
property insurance;
• The Targets consist in a portfolio of photovoltaic power plants located in France.
