Description of the concentration
Shell España S.A. and Shell Aviation España S.L. are both part of the Shell group of companies, the ultimate parent entity of which is Royal Dutch Shell Plc which is incorporated in England and Wales .
Disa Corporacion Petrolifera S.A. is the parent company of a group of companies active in Spain, mainly focused on commercial activities regarding oil products.
The notification concerns the proposed acquisition of joint control over Shell Aviation España S.L. by Disa Corporacion Petrolifera S.A. through the acquisition of 50% of the shares in Shell Aviation España S.L. from Shell España S.A. This transaction leads to the creation of a full-function joint venture covering Shell’s current activities in aviation fuels marketing in Spain.
