SECTION 1.2
Description of the concentration
On 4 December 2012, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004 under which Zakłady Azotowe w Tarnowie-Mościcach S.A. (“ATT”, Poland) will acquire, within the meaning of Article 3(1)(b) of Council Regulation (EC) No. 139/2004, sole control over Zakłady Azotowe “Puławy” S.A. (“ZAP”, Poland) and its subsidiaries (the “ZAP Group”) through a public offering of the shares in ATT addressed to the shareholders of ZAP in exchange for an in-kind contribution in the form of the shares in ZAP.
The undertakings concerned are primarily active in the chemical sector. The business activities of the undertakings concerned include, in particular:
• for the ATT Group: the operations concentrate on the following areas: mineral fertilizers, plastics, OXO alcohols and plasticizers, and pigments.
• for the ZAP Group: the operations concentrate on the following areas: mineral fertilizers and chemicals.
