SECTION 4

Description of the concentration

The concentration relates to the indirect acquisition of 100% of the equity interests in Eviosys (currently solely controlled by entities managed by KPS Capital Partners) by Sonoco Products Company (Sonoco). As such, the concentration relates to the acquisition of sole control over an undertaking within the meaning of Article 3(1)(b) of the Merger Regulation.

The concentration concerns the following undertakings:

(a) Sonoco: a global manufacturer of industrial and consumer packaging products, including in particular composite cans and rigid paper containers, based in Hartsville, South Carolina, United States of America.

(b) Eviosys: a manufacturer of metal packaging including food and promotional cans, standalone can ends, and aerosols in Europe, based in Zug, Switzerland. Eviosys’ principal activities are across food packaging solutions, closures, promotional metal packaging designs, and tinplate aerosol cans.

For Sonoco, Eviosys represents an ideal strategic fit with Sonoco’s packaging operations, due to its complementary suite of metal packaging products, corporate leadership and attractive financial profile.

For Eviosys, Sonoco is an ideal owner. Eviosys will benefit from the diversification of Sonoco’s business across geographies and product lines, as well as an improved credit profile as a publicly traded, investment grade company.
