SECTION 1.2

Description of the concentration

The Transaction involves the acquisition of joint control by Suez Recycling and Recovery Spain, S.L. (“Suez”), and Repsol Industrial Transformation, S.L. (“Repsol”), over Ecoplanta Molecular Recycling Solutions, S.L. (“Ecoplanta”), a company currently solely controlled by Suez.

Repsol is part of the Repsol Group and is active in the manufacture and marketing of all kinds of chemical products, including petrochemicals.

Suez is part of the Suez Group, a leading French multinational corporation, with operations primarily in water and waste management.

Ecoplanta will be active in the development, construction and operation of a waste-to-biofuels/chemicals facility to transform municipal solid waste-derived feedstock into biomethanol in the province of Tarragona, Spain.

Ecoplanta is a joint venture performing on a lasting basis all the functions of an autonomous economic entity within the meaning of Article 3(4) of the EUMR, and therefore the Transaction constitutes a concentration within the meaning of Article 3 paragraph 1(b) of the EUMR.
