SECTION 4

Description of the concentration

This notification concerns the following undertakings:

a. ABB Inc. (“ABB”)

b. Niedax GmbH & Co. KG (“Niedax”)

c. Eagle JV HoldCo Inc., a newly created entity (“the JV”)

ABB and Niedax will (directly or indirectly) acquire, within the meaning of Article 3(1), point (b) and Article 3(4) of the Merger Regulation, joint control of a newly established, full-function joint venture. The concentration is accomplished by (i) ABB contributing to the JV part of its cable tray business in Canada, and (ii) Niedax contributing to the JV its cable tray business in the United States, Canada and Mexico. The business activities of the undertakings concerned are:

a. ABB. ABB is a wholly owned subsidiary of ABB Ltd. . ABB is a technology leader in electrification and automation, enabling a more sustainable and resource-efficient future. ABB’s solutions connect engineering know-how and software to optimize how things are manufactured, moved, powered and operated.

b. Niedax. Headquartered in Linz am Rhein, Germany, Niedax is a global provider of cable management systems.

c. Eagle JV HoldCo Inc., a newly established entity, will be active in the designing, manufacturing and supply of cable tray systems in North America.
