SECTION 1.2

Description of the concentration

This notification relates to the acquisition (the “Transaction”) by affiliated funds of

KKR & Co. L.P. (“KKR”) of shares in Württembergische Metallwaren Fabrik AG,

Geislingen, Germany (“WMF” or the “Target”, together with KKR “the Parties”)

within the meaning of Article 3 (1) (6) of Council Regulation (EC) 139/2004

(“ECMR”)

The transaction will not give rise to any competitive effects in the EEA. The Target is

a manufacturer and/or distributor of table- kitchenware and small electrical appliances

for private households as well as table- & kitchenware and fully-automated coffee

machines for professional use. In addition, in Germany, Austria and Switzerland

WMF operates a retail network offering table- & kitchenware and small electric

appliances primarily sourced from WMF group brands. KKR is a global investment

firm, which offers a broad range of alternative asset funds and other investment

products to investors and provides capital markets solutions for the firm, its portfolio

companies and other clients. Neither KKR nor any of the portfolio companies under its

control is active in the same relevant product markets as those of the Target, or in any

market upstream, downstream, or neighboring the Target. The Transaction does not

give rise to competition concerns in any affected markets.
