SECTION 1.2

Description of the concentration

1.The notified transaction concerns the acquisition of sole control by Stanley Black & Decker, Inc. (”Stanley”), through its indirect wholly-owned subsidiary SBD Holding AB, over Niscayah Group AB (“Niscayah”), by way of a public offer to acquire all of the outstanding common stock and warrants of Niscayah. The offer was publicly announced on 27 June 2011.

2.Stanley is a worldwide manufacturer of hard tools and engineered solutions for industrial, construction, do-it-yourself (DIY) use, fastening and assembly systems, and security solutions mainly for commercial applications. 3.Niscayah offers intrusion and fire protection solutions, video-surveillance systems, access control equipment, as well as installation, maintenance, alarm monitoring and response services. Niscayah‟s customers‟ portfolio is mainly made of banks, utilities, transport and logistics providers, retail and gas stations.
