SECTION 4

Description of the concentration

This notification relates to the proposed acquisition of sole control by Keensight Capital SAS ("Keensight Capital" together with its subsidiaries the "Keensight Group") over Volpel Invest B.V. (together with its subsidiaries "Nomios") via a share purchase agreement (the "Proposed Transaction").

Keensight Capital is a private company organised under the laws of France and controlled by Keensight Holding SAS. Nomios is a private company with limited liability organised under the laws of the Netherlands, and currenty (indirectly) controlled by Volpel International S.À R.L, Stichting Administratiekantoor Volpel 2, Stichting Administratiekantoor Volpel 3 and Volpel Manco B.V.

After completion of the Proposed Transaction, Keensight Capital will exercise sole control over Nomios. The Proposed Transaction therefore constitutes a concentration within the meaning of Article 3(1)(b) of the Merger Regulation.
