SECTION 1.2
Description of the concentration
− The Transaction involves the proposed acquisition of indirect sole control by Mars, Incorporated (Mars) of AniCura TC AB and its subsidiaries (AniCura) from (i) Cidron Rock S.à r.l., an entity ultimately owned by funds managed and advised by Nordic Capital; (ii) Fidelio I TopCo AB, an entity ultimately owned by funds managed and advised by Fidelio Capital; and (iii) a number of minority investors.
− Mars is a global privately held company owned by the Mars family, headquartered in McLean, Virginia, USA. Mars has the following business segments focused on consumer products: Petcare, Confectionary, Food, and Drinks.
− Mars Petcare is a pet food and veterinary care provider, headquartered in Brussels, Belgium. Mars Petcare’s activities include the manufacture of food products for dogs and cats marketed under brands which in the EEA include Pedigree, Cesar, Chappi, Whiskas, Kitekat, Sheba, and Royal Canin. It also operates veterinary clinics and hospitals in countries which do not overlap with AniCura’s countries of operation.
− AniCura is a privately held provider of veterinary care for companion animals (primarily dogs and cats) based in Stockholm, Sweden. AniCura operates animal hospitals and clinics across several countries in the EEA (Sweden, Norway, Denmark, Austria, Germany, the Netherlands, Italy, France and Spain), through which it offers a wide range of high quality medical services covering preventive and basic health care and makes sales of ancillary products, including pet food.
