SECTION 1.2

Description of the concentration

On 23 August 2023, the European Commission received the notification of a proposed concentration pursuant to Article 3(1)(b) of the Merger Regulation, by which the German Group DKV Mobility (“DKV Mobility”), through its directly controlled subsidiary Novofleet Verwaltungsgesellschaft mbH (“Novofleet”) will acquire joint control over the Spanish company Road Solution Pro, S.L. (“Road” or the “JV”) from the shareholders of GP Límite Andamur, S.L. (“Andamur”) by a purchase of shares. Some of the current shareholders of Andamur (Fondalmanzora Investment, S.L.U., 1994 Andamur, S.L.U., Participaciones Almanzora, S.L.U., and Miras y Cazorla, S.L.U.,) all Spanish companies (the “Shareholders of Andamur”), will retain joint control together with DKV Mobility.

Novofleet is a German company, wholly owned by DKV Mobility. DKV Mobility’s core business is fuel cards for conventional fuel as well as cards for electric charge for electric vehicles. DKV Mobility also offers the provision of toll payment solutions, mobility solutions (parking, rental service, repairing of the vehicle, and innovative digital solutions, among others) and the provision of tax refund services of VAT and other taxes.

The Shareholders of Andamur have joint-control over Andamur, a Spanish family business active in the provision of integrated transport-related services. Besides the Business integrated within Road, the Andamur Group owns 8 service areas in Spain. The Shareholders of Andamur (Fondalmanzora Investment, S.L.U., 1994 Andamur, S.L.U., Participaciones Almanzora, S.L.U., and Miras y Cazorla, S.L.U.) are all investment vehicles whose corporate purpose and sole activity relates to the acquisition, holding, administration, disposal and sale of shareholdings or equity interests in other companies.

Road is Spanish company incorporated in 2022, to which Andamur contributed the following business units: (i) the issuance of cash free and bank credit card-free refuelling cards that can be used by professional clients; (ii) the rental and management services of toll payment devices; and (iii) the provision of VAT and other fuel-related tax refund services related to certain activities.
