On January 25, 2016, Denali Holding, Inc. (the owner of Dell Inc.) notified the European Commission’s Directorate General for Competition of its intention to acquire, within the meaning of Article 3(1)(b) of the EU Merger Regulation 139/2004, sole control over EMC Corporation, by way of purchase of shares.
Denali is solely controlled by Michael S. Dell, the founder and CEO of Dell Inc. Dell Inc. was founded in 1984 and is headquartered in Round Rock, Texas. The privately held company develops, sells, repairs, and supports computing hardware and related products and services.
EMC is a U.S.-based public company that specializes in data storage, information security, virtualization, analytics, cloud computing, and other products and services that enable businesses to store, manage, protect, and analyze data. Organized as a federation, EMC owns, inter alia, approximately 81% of VMware, Inc., a publicly-traded provider of virtualization software.
The activities of Dell and EMC overlap in relation to external enterprise storage systems and, to a lesser extent, a number of software products (including in certain security and backup software). The proposed concentration also gives rise to a non-horizontal relationship between Dell’s hardware and VMware’s virtualization software.
