SECTION 4

Description of the concentration

This notification concerns the following undertakings:

a. Duisburger Hafen AG (“duisport”), Germany, controlled by Beteiligungsverwaltungsgesellschaft des Landes Nordrhein-Westfalen mbH (“BVG”), Germany;

b. Hupac SA (“Hupac”), Switzerland;

c. H.T.S. Intermodaal B.V. (“H.T.S.”), the Netherlands, controlled by H.T.S.Krimpen Beheer B.V., the Netherlands;

d. PSA Belgium Holdings BV (“PSA”), Belgium, controlled by PSA International Pte. Ltd. (“PSA International”), Singapore; and

e. Duisburg Gateway Terminal GmbH (“DGT”), Germany, controlled by duisport, Hupac and H.T.S.

duisport, Hupac, H.T.S and PSA acquire, within the meaning of Article 3(1), point (b) and Article 3(4) of the Merger Regulation, joint control of DGT by way of purchase of shares.

duisport will decrease its shareholding from 60% to 26%. Hupac and H.T.S. will each increase their shareholding from 20% to 26%. PSA will enter as a new shareholder with 22%.

The activities of the undertakings concerned are:

a. duisport offers services associated with, inter alia, the operation of inland ports and logistics. It operates worldwide (mainly in Germany) through its subsidiaries.

b. Hupac is an intermodal network operator and provides international intermodal land freight transport focusing on rail services, active in Europe and Asia.

c. H.T.S. is an intermodal service provider active in Germany, Belgium and the Netherlands that provides inland container transport and services.

d. PSA is a holding company in Belgium within the PSA International group. PSA International is a global operator of port terminals.

e. DGT will operate a trimodal rail/ship/road container terminal at the port of Duisburg in Germany, which is still under construction.
