SECTION 1.2

Description of the concentration

 On October 17 2018, the European Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004.

 The proposed concentration concerns the creation of a full-function joint venture ("JV") by E.ON SE ("E.ON"), through its wholly owned German subsidiary E.ON Solutions GmbH ("E.ON Solutions") or a wholly owned subsidiary of E.ON Solutions still to be created, and SEAS-NVE, through its wholly owned subsidiary Clever A/S ("Clever"). Each party will hold 50 per cent of the shares of the JV. The name of the JV shall be "Ultra-Fast Charging Venture Scandinavia ApS".

 The JV will develop a concept and carry out all necessary technical and commercial functions to install and operate ultrafast charging (UFC) stations for E-vehicles in Denmark, Norway and Sweden. UFC describes a new technology to charge E-vehicles (which are suitable for UFC) with high power which will allow charging times of only minutes while regular charging systems require much longer charging times.

 E.ON Solutions is an energy company which offers a wide range of energy solutions including integrated products and e-mobility services. Clever is an electric mobility service provider.
