Dear Sir or Madam,

(1)(1) On 19 August 2024, the European Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation by which CK Infrastructure Holdings Limited (‘CKI’, Bermuda), ultimately controlled by CK Hutchison Holdings Limited (Cayman Islands), and CK Asset Holdings Limited (‘CKA’, Cayman Islands) will acquire within the meaning of Article 3(1)(b) of the Merger Regulation control of entities which form part of Aviva plc’s (United Kingdom) onshore windfarm business in the United Kingdom, namely Minnygap Energy Limited, Den Brook Energy Limited, Turncole Wind Farm Limited, Jacks Lane Energy Limited, Woolley Hill Electrical Energy Limited, Medium Scale Wind No.1 Limited, and Medium Scale Wind No.2 Limited (the ‘Target Wind Farms and 3Assets’, United Kingdom) by way of purchase of shares. ()

(2)(2) The business activities of the undertakings concerned are the following:

– CKI is a global infrastructure company with diversified investments in energy infrastructure, transportation infrastructure, water infrastructure, waste

management, waste-to-energy, household infrastructure, and infrastructure related businesses,

– CKA is a multinational conglomerate with business activities in property development and investment, hotel operation, property and project management, and infrastructure and utility asset operation,

– The Target Wind Farms and Assets are active in the development and operation of medium scale individual wind turbines and wind farms in the United Kingdom.

(3)(3) After examination of the notification, the European Commission has concluded that the notified operation falls within the scope of the Merger Regulation and of paragraph 5(a) of the Commission Notice on a simplified treatment for certain 4concentrations under Council Regulation (EC) No 139/2004. ()

(4)(4) For the reasons set out in the Notice on a simplified treatment, the European Commission has decided not to oppose the notified operation and to declare it compatible with the internal market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of the Merger Regulation and Article 57 of the EEA Agreement.
