The Commission has received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 involving Kongsberg Gruppen ASA ("KONGSBERG") and Rolls-Royce plc ("Rolls-Royce") which entered into a sale and purchase agreement on 6 July 2018 following a structured sales process initiated by Rolls-Royce.
The proposed concentration will result in the acquisition by KONGSBERG of sole control of Rolls-Royce's commercial marine products, systems and aftermarket services business ('RRCM'), with the exception of RRCM's dynamic positioning control systems business. RRCM's activities are currently carried out by a number of subsidiaries of Rolls-Royce.
KONGSBERG is a Norwegian public limited liability company incorporated in Norway. It is the holding company of the Kongsberg group, which supplies technological systems and solutions for use in the marine, defence, aerospace and oil and gas industries. Its shares are listed on the Oslo Stock Exchange.
RRCM is the commercial marine business within the Rolls-Royce group that supplies equipment, systems and digital elements for civil marine vessels. It does not include Rolls-Royce's power systems business, which amongst other things sells high speed reciprocating engines and associated systems for marine applications.
The transaction will combine two, broadly complementary, businesses with KONGSBERG and RRCM both active in the design, development, supply and support of various products and services to customers (primarily ship-owners and shipyards) that build and operate vessels in the commercial marine sector.
