SECTION 1.2

Description of the concentration

This notification relates to a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 by which the undertaking Isola Group S.A.R.L. acquires, within the meaning of Article 3(1)(b) of the Council Regulation, and by way of purchase of shares and assets, control of the whole of the “Polyclad” business of Cookson Group plc (UK), Cookson Overseas Limited (UK), Cookson Electronics Limited (Hong Kong), Cookson Investments, Inc. and Cookson Singapore Pte Ltd. The business activities of the undertakings concerned are the development, production and sale of copper-clad glass fibre laminates (which are used by independent customers in the production of printed circuit boards).
