SECTION 1.2
Description of the concentration
The present notification concerns a proposed concentration whereby Endesa Europa S.L. (“Endesa Europa”, Spain), along with Foster Wheeler Italiana S.p.A. (“FWI”, Italia) intend to acquire joint control, within the meaning of Article 3(1)(b) of the Council Regulation (EC) No. 139/2004, of the undertakings Centro Energia Ferrara S.p.A. (“CEF”) and Centro Energia Teverola S.p.A. (“CET”), Italian companies active in the electricity sector. The transaction will not affect competition on the market given that the electricity produced by the target companies is subject to a special regime under Italian law (CIP6). In any event, the capacity held by the target companies is well below 1 % of the total working capacity available on the Italian market.
