SECTION 1.2
Description of the concentration
(1) The proposed transaction concerns the acquisition of sole control by Fedrigoni S.p.A. over (i) Ri.Tra.Ma. Rink Trading and Manufacturing S.p.A. and its subsidiaries, (ii) Coating Ricofin S.r.l. and (iii) Eurotac S.r.l. Fedrigoni S.p.A. is entirely owned by Fabric (BC) S.p.A., which is indirectly controlled by Bain Capital Europe Fund IV, L.P., a fund managed by Bain Capital Investors L.L.C.
(2) The nature of the business of the parties is as follows:
• Fedrigoni is an Italian company active in the manufacturing and sale of various types of paper, including graphic or fine paper, security paper and solutions (such as paper for banknotes and traded securities and security elements), self-adhesive labelstock and stationery.
