SECTION 1.2

Description of the concentration

This notification pursuant to Article 4 ECMR concerns a proposed concentration by which

Rank Group Holdings Limited (or a newly established company incorporated in Switzerland)

by way of public tender offer, intends to acquire sole control, within the meaning of Article 3(1)(b) ECMR, of SIG Holding AG.

The business activities of the undertakings are:

• Rank Group Holdings Limited (Rank Limited), a limited liability company incorporated under the laws of New Zealand, is an investment company that does not carry out any operational activities. Rank Limited is part of a group of companies directly or indirectly controlled by Mr Graeme Hart. Rank Limited owns the following operational businesses:

o Burns, Philp & Company Pty Limited (BPC) is a limited liability company incorporated in Australia. BPC is an investment company, holding a 20% interest in an Australian listed food company, Goodman Fielder Limited, and a 50% interest in Fresh Start Bakeries Australia Pty Limited;

o Carter Holt Harvey Limited (CHH) is a limited liability company incorporated in Auckland, New Zealand. CHH is active in the following business segments: Building supplies, pulp and paper, carton packaging, corrugated packaging, and wood products. CHH manufactures corrugated cartons and folding cartons. CHHís folding cartons are used for other applications, mainly for fast food packaging. CHHís main geographic areas of activities are Australia, New Zealand and China;

o Evergreen Packaging Holdings Limited (Evergreen; formerly Beverage Packaging Holdings Limited) is active in the manufacture and sale of non-aseptic packaging machines, liquid packaging board for non-aseptic applications and non-aseptic cartons for beverages. Evergreen is mainly active in North and Latin America as well as in Asia.

• SIG Holding AG is a Swiss corporation listed on the Swiss Stock Exchange SWX and a provider of aseptic carton packaging and plastic bottling solutions.
